Community Platform Terms and Conditions
1. About these terms
These Terms and Conditions (these “Terms”) govern your membership of and access to the EtA Central Community platform (the “Platform”), operated by ETA Australia Pty Ltd (ABN 49 677 141 383) (“EtA Central”, “we”, “us”). By joining the platform, you agree to these terms. The Platform is operated using third-party community platform services provided by CircleCo, Inc. and Mighty Software, Inc. During periods of platform migration, transition or testing, Platform accounts, content, communications and personal information may be hosted, transferred between, or processed through one or both of these providers.
2. Eligibility
You must be at least 18 years old to join the Platform. By joining, you confirm that you are 18 or over and that the information you provide is accurate and current.
3. Membership and fees
Membership is available on an annual subscription basis at the price displayed at the time of purchase. Unless otherwise stated at the time of purchase, memberships automatically renew for successive annual terms. By subscribing, you authorise us to charge the applicable subscription fee (including any notified price changes) using your nominated payment method at each renewal date.
You may cancel your membership at any time through your account settings or by contacting us. To avoid being charged for the next subscription period, you must cancel your membership at least 30 days before the applicable renewal date. If you cancel less than 30 days before the renewal date, the renewal charge may still be processed, and your membership will continue until the end of the renewed subscription period.
Except where required by law, subscription fees are non-refundable and we do not provide refunds or credits for partial subscription periods or unused membership benefits.
Payments are processed securely through Stripe, Inc. and its affiliated entities (Stripe), our third-party payment service provider. By making a payment, you also agree to Stripe's applicable terms and privacy practices.
4. Purchases are final
All membership purchases are final and non-refundable, except where a refund is required by law. Nothing in this clause limits any right you have under the Australian Consumer Law that cannot be excluded. We may vary membership fees from time to time by providing at least 30 days' prior written notice to members. If you do not agree to a fee increase, you may terminate your membership by giving notice to us at any time before the increased fee takes effect. In that case, the fee increase will not apply to you, and your membership will end on the day immediately before the increase takes effect. No refund will be payable for any membership fees already paid, except where required by law.
5. Your account
You are responsible for keeping your account details secure and for activity that occurs under your account. You must notify us promptly of any unauthorised use.
6. The member directory and contacting other members
Your name, city, company or organisation name and category will be visible to other members through the member directory, and members may contact you through the Platform. You must use the directory and messaging features respectfully and only for purposes connected with the ETA Central community. You must not harvest, export, sell or misuse other members' information, or use it to send unsolicited marketing.
7. Acceptable use
You must not use the Platform to post or share unlawful, misleading, offensive or infringing content, to spam or harass other members, or to interfere with the operation or security of the platform. We may remove content or restrict access to the Platform where these terms are breached.
8. Intellectual property
All content, resources, tools and materials we make available on the Platform are owned by or licensed to EtA Central. We grant you a limited, non-exclusive, non-transferable and revocable licence to access and use that content solely for your own educational, research and business planning purposes in connection with entrepreneurship through acquisition activities. You must not copy, reproduce, republish, distribute, share outside the platform, sell or commercially exploit any of our content or resources without our prior written consent. If you post content to the platform, you grant us a non-exclusive, royalty-free licence to use that content in connection with operating the Platform and community.
9. Disclaimer of Warranties and No Advice
The Platform, including all content, materials, resources, discussions, communications and information made available through it, is provided for general informational and educational purposes only. Nothing made available on or through the Platform constitutes, or is intended to constitute, financial, investment, legal, taxation, accounting, credit, lending or other professional advice, nor does it take into account any user's individual objectives, financial circumstances, needs or situation.
EtA Central is not licensed or authorised to provide financial product advice, financial services advice, mortgage broking services, credit assistance or any other regulated professional services. Any opinions, statements, comments or information provided by EtA Central, its representatives, contributors or other users are of a general nature only and must not be relied upon as personal, professional or regulated advice.
You are solely responsible for evaluating the accuracy, completeness and suitability of any information obtained through the Platform and for determining whether to act upon it. Before making any financial, investment, legal, taxation, credit or other decision, you should obtain independent professional advice from appropriately qualified advisers.
To the fullest extent permitted by law, EtA Central makes no representations, warranties or guarantees, whether express, implied, statutory or otherwise, regarding the accuracy, completeness, reliability, suitability, availability or fitness for a particular purpose of the Platform or any content made available through it. Any reliance on the Platform or its content is at your own risk
To the fullest extent permitted by law, EtA Central excludes all liability arising from or in connection with any action taken, or not taken, by any person in reliance on the Platform or any content, materials, resources, discussions or information available through it.
10. Privacy and information shared with sponsors
We collect your name, email address, city, company or organisation name and category when you join and use the platform. We will share this information with our sponsors where you have consented. Sponsors may contact you, including with marketing, and are required to comply with the Spam Act 2003 (Cth), including offering a working unsubscribe facility. We handle your personal information in accordance with our Privacy Policy, which explains how we share information with sponsors and overseas recipients.
11. Suspension and termination
We may suspend or terminate your membership if you breach these terms. Subject to clause 3, you may cancel your membership at any time. On termination, your right to access the Platform ends, and clauses that by their nature should survive (including intellectual property, disclaimers and liability) continue to apply.
12. Liability
To the maximum extent permitted by law, our liability in connection with the platform is limited to the membership fees you have paid in the 12 months before the relevant event. Nothing in these terms excludes any consumer guarantee or right under the Australian Consumer Law that cannot be excluded.
13. Assignment
You must not assign, transfer, novate, subcontract, declare a trust over, or otherwise deal with any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, novate, subcontract or otherwise deal with any of our rights or obligations under these Terms at any time without your consent. These Terms are binding on, and will benefit, each party and their respective permitted successors and assigns.
14. Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms (other than an obligation to pay money) to the extent that the delay or failure is caused by an event beyond that party's reasonable control, including acts of God, natural disasters, flood, fire, storm, epidemic, pandemic, war, terrorism, civil unrest, government action, embargo, labour disputes, failure of telecommunications networks, interruption to internet services, denial-of-service attacks, cyber incidents, utility outages, or failures of third-party hosting, cloud, software or service providers (Force Majeure Event).
The affected party must use reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance as soon as reasonably practicable.
If a Force Majeure Event prevents a party from performing a material obligation under these Terms for a continuous period of more than 30 days, either party may terminate these Terms by giving written notice to the other party.
Nothing in this clause relieves a party from any obligation to pay amounts that became due and payable before the Force Majeure Event occurred.
15. Entire Agreement
These Terms constitute the entire agreement between the parties in relation to their subject matter and supersede all prior discussions, negotiations, representations, understandings, agreements and arrangements, whether written or oral, relating to that subject matter. Each party acknowledges that, in entering into these Terms, it has not relied on any statement, representation, warranty or undertaking that is not expressly set out in these Terms. Nothing in this clause excludes or limits any liability for fraud or any rights or remedies that cannot be excluded by law.
16. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, that provision will be severed and the remaining provisions will continue in full force and effect. If a provision is invalid, illegal or unenforceable but would be valid, legal or enforceable if part of the provision were deleted or modified, the provision will apply with the minimum modification necessary to make it valid, legal and enforceable while preserving its intended commercial effect to the greatest extent possible.
17. No Waiver
A failure or delay by a party to exercise any right, power or remedy under these Terms does not operate as a waiver of that right, power or remedy. A waiver of any right, power or remedy must be in writing and signed by the party granting the waiver. A single or partial exercise of any right, power or remedy does not prevent any further or other exercise of that right, power or remedy or the exercise of any other right, power or remedy. A waiver of a breach of these Terms does not operate as a waiver of any subsequent breach.
18. Governing law
These terms are governed by the laws of New South Wales, and you submit to the non-exclusive jurisdiction of the courts of that State.
19. Dispute Resolution
If a dispute arises out of or in connection with these Terms or the Platform, either party may give written notice to the other party describing the dispute. The parties must first use reasonable efforts to resolve the dispute through good-faith negotiations. If the dispute is not resolved within 10 days after the notice is given, either party may refer the dispute to mediation. The mediation must be conducted in good faith and administered by a mediator agreed by the parties, with the parties contributing equally toward the cost of the mediator. If the parties cannot agree on a mediator within 5 days, either party may request that the mediator be appointed by the Resolution Institute. The mediation must be completed within 20 days after the mediator is appointed, unless the parties agree otherwise.
20. Acceptance
By ticking “I have read and accept the Community Terms” and completing your purchase, you confirm that you have read, understood and agree to these terms.
